Dell Inc. said it will pay $3.6 billion for Perot Systems Corp. in a bid to boost its IT services offering and make the division more competitive against consulting rivals IBM Corp. and Hewlett-Packard Co.
Dell will pay approximately $30 per cash for all outstanding shares of Perot Systems, the IT services company founded by former U.S. presidential candidate Ross Perot, who is being considered for appointment to the Round Rock, Texas, personal computer and consumer electronic company's board of directors.
The two companies announced the transaction had been approved by their separate board of directors. Dell said it expects to close the deal in its November-January fiscal quarter.
Perot Systems is a supplier of hardware products and information technology consulting services to a wide range of clients, including the health care industry. The company said it has a large base of customers worldwide.
The combination is expected to boost Dell's IT consulting services revenue to about $8 billion based on current sales at Perot Systems and Dell's services division.
"We consider Perot Systems to be a premium asset with great people that enhances our opportunities for immediate and long-term growth," said Michael Dell, chairman and CEO of Dell, in a statement. "This significantly expands Dell's enterprise-solutions capabilities and makes Perot Systems' strengths available to even more customers around the world."
